（三）审计收费

2020 年度天健拟收取财务报告审计及内部控制审计费用合计不超过人民币150万元。该笔费用参照有关规定，以业务量为衡量标准，请股东大会授权董事会与该所谈判为准。审计期间的食、宿等费用由公司承担。

二、拟续聘会计事务所履行的程序

（一）董事会审计委员会履职情况及审查意见

公司第十届董事会审计委员会2020年度第一次会议审议通过了关于聘请公司2020年度审计机构的议案，认为该所在接受聘请并在公司2019会计年度结束后，按照本公司年度报告的编制、披露的时间要求，认真组织、开展本公司2019年度的审计工作，并按与本委员会商定的审计工作时间安排提供书面的《2019年度审计计划》；在审计工作中严格遵循国家法律、法规，保持了独立性，做到了审计监督的客观性、公正性、权威性和有效性。

董事会审计委员会发表书面审查意见如下：

天健会计师事务所有限公司具有证券、期货从业资格，公司上市以来一直聘请该所为财务报告的审计机构。该所对公司的情况熟悉了解并工作严谨，决定向董事会推荐续聘该所为公司2020年度财务报告及内部控制审计的审计机构。

（二）上市公司独立董事关于本次聘任会计事务所的事前认可及独立意见

公司独立董事已就本次续聘会计师事务所事项发表了同意的事前认可意见，并发表了独立意见如下：

天健会计师事务所有限公司在接受聘请并在公司2019会计年度结束后，按照本公司年度报告的编制、披露的时间要求，认真组织、开展本公司2019年度的审计工作，并按与本委员会商定的审计工作时间安排提供书面的《2019年度审计计划》；在审计工作中严格遵循国家法律、法规，保持了独立性，做到了审计监督的客观性、公正性、权威性和有效性。

该所具有证券、期货从业资格，公司上市以来一直聘请该所为财务报告的审计机构。该所对公司的情况熟悉了解并工作严谨。我们同意续聘该所为公司2020年度财务报告及内部控制审计的审计机构。

（三）董事会会议的召开、审议和表决情况

2020年4月24日，公司以现场与通讯表决相结合的方式召开了第十届董事会第14次会议，公司现有八名董事，全体董事亲自参加了会议，符合《公司法》和《公司章程》的有关规定，所做决议合法有效。会议由蒋晓萌董事长主持，经审议与表决，以8票同意、0票反对、0票弃权，审议通过了关于聘请公司2020年度审计机构的议案。

（四）本次聘任会计师事务所事项尚需提交公司股东大会审议，并自公司股东大会审议通过之日起生效。

In March, the authoritative organization of the cement industry successively released two series of lists of China's top 500 building materials enterprises in 2022 and China's top 100 cement clinker production capacity in 2022. Jianfeng Group ranked among the "top 100" in the two lists ". The list of China's top 500 building materials enterprises was officially released in early March. This series of lists was selected by the China Building Materials Enterprise Management Association. Through more than 20 years of comprehensive data research on China's building materials industry, referring to international practices, the rankings are based on the company's annual operating income., Cement products, building ceramics, waterproof materials, aluminum-plastic profiles, coatings, glass, building materials equipment manufacturing and other sub-industries related to building materials.
