●委托理财金额:授权董事长行使不超过人民币3亿元的委托理财的决策权,在该额度内资金可以滚动使用,但任一时点存续的委托理财余额合计不得超过3亿元。
●委托理财投资类型:选择安全性高、流动性好、低风险的品种开展委托理财业务。
●委托理财期限:每笔投资业务的期限均不得超过12个月。
一、概述
(一)基本情况
1、原则:以“规范运作、防范风险、谨慎投资、保值增值”为原则。
2、品种:选择安全性高、流动性好、低风险的品种开展委托理财业务。
3、资金:自有资金。
4、授权额度、期限:授权董事长行使不超过人民币3亿元的委托理财的决策权,在该额度内资金可以滚动使用,但任一时点存续的委托理财余额合计不得超过3亿元。每笔委托理财的期限不得超过 12个月。授权期限自公司本次董事会审议通过之日起3年内有效。具体投资活动由公司财务部负责组织实施。
5、实施方式:授权董事长决定在上述额度内的委托理财投资相关事宜,包括但不限于:选择合格专业理财机构、选择具体的委托理财产品品种、明确委托理财金额及期限、签署相关合同及协议等。
(二)公司内部需履行的审批程序
2018年4月20日,公司第十届董事会第三次会议审议通过了《关于授权公司董事长利用自有资金进行委托理财的议案》。表决结果:同意9票、反对0票、弃权0票。
二、主要内容
(一)委托资金来源:自有资金。
(二)对公司的影响
1、公司的委托理财,是在确保公司日常运营和资金安全的前提下实施的,不影响公司日常资金周转,不影响公司经营业务的正常开展。
2、通过进行适度的低风险的理财产品投资业务,可以提高资金使用效率,能获得一定的投资效益,为公司股东谋取更多的投资回报。
(三)风险控制分析
公司严格按照《委托理财管理制度》审批和执行程序,确保委托理财等投资业务的有效开展和规范运行。但由于金融市场受经济环境的影响较大,不排除投资理财等投资业务会受到市场波动的影响,公司将采取以下措施:
(1)公司明确专人负责该等投资事项的相关工作:公司董事长行使该等投资决策权并签署相关合同文件,公司财务负责人负责组织实施,财务部负责具体操作。
(2)公司财务部负责及时分析和跟踪理财产品投向、投资项目进展情况,如评估发现存在可能影响公司资金安全或影响正常资金流动需求的状况,将及时采取相应保全或赎回措施,以控制投资风险。
(3)公司审计部门负责对各项投资情况进行审计与监督,定期对委托理财的进展情况、盈亏情况、风险控制等情况进行审计、核实,并根据谨慎性原则对各项委托理财可能的风险与收益进行评价,向董事会审计委员会报告。
(4)公司严格按照中国证监会及上海证券交易所的相关规定履行信息披露义务。
(四)独立董事意见
公司独立董事对该项决议发表了独立意见,认为:该决议的形成符合《公司法》、公司《章程》等有关规定,没有损害中小股东的利益。
