一、本次委托理财概述
(一)本次委托理财的基本情况
公司于2017年10月10日与招商银行股份有限公司金华江北支行(以下简称“招商银行金华江北支行”)签署《招商银行单位结构性存款协议》,公司出资3,000万元人民币购买招商银行金华江北支行发售的单位结构性存款CHZ00318号理财产品,产品期限34天,预期年化收益率3.85%。本产品为保本浮动收益型理财产品。公司本次投资委托理财产品的资金来源为公司自有资金,且本次委托理财不构成关联交易。
(二)公司内部需履行的审批程序。
2015年4月17日,公司召开第九届董事会第2次会议审议通过了《关于授权公司董事长利用闲置自有资金进行委托理财等投资的议案》,授权公司董事长利用闲置自有资金进行委托理财等投资,最高不超过人民币1亿元,在该额度内资金可以滚动使用,每笔投资业务的期限均不得超过12个月。详见本公司在2015年4月21日在上海证券交易所网站披露的《关于授权董事长决定委托理财等投资的公告》(临2015-008)。
2017年8月25日,公司召开的第九届董事会第15次会议审议通过了《关于授权公司董事长决定委托理财的议案》。授权公司董事长行使不超过人民币2亿元的委托理财的决策权,在该额度内资金可以滚动使用,但任一时点存续的委托理财余额合计不得超过2亿元,每笔委托理财的期限均不得超过12个月。详见本公司在2017年8月29日在上海证券交易所网站披露的《关于授权董事长决定委托理财的公告》(临2017-024)。
公司本次购买招商银行金华江北支行结构性存款CHZ00318号理财产品,在公司第九届董事会第15次会议授权董事长决策范围之内。
二、本次委托理财协议主体的基本情况
1、交易对方名称:招商银行股份有限公司金华江北支行,公司类型:股份有限公司分公司(上市),营业场所:浙江省金华市婺城区解放东路268号莲花大夏附楼,负责人:胡刚,经营范围:经营总行在中国银行监督管理委员会批准的业务范围内授权的业务。
2、招商银行股份有限公司金华江北支行与本公司之间在产权、业务、资产、债权债务、人员等方面均不存在关联关系。
三、 本次委托理财合同的主要内容
(一)基本说明
公司本次购买理财产品的资金来源为公司自有资金,委托理财期限为2017年10月10日至2017年11月13日。招商银行江北支行结构性存款产品为保本保底利息浮动收益型理财产品,预期年化收益率为3.85%,无需提供履约担保。本产品收益的计算中已包含(计入)银行的运营管理成本(如账户监管、资金运作管理、交易手续费等),公司无需支付或承担本产品下的其他费用或收费。
(二)产品说明
1、投资方向以及范围
结构性存款是指以企业的存款作为本金,挂钩利率、汇率、股票指数、商品价格等金融市场指标的创新型存款产品。如果投资方向正确,将获得额外收益;如果方向失误,将损失购买期权的费用,对于本金不造成影响。
2、收益计算
(1)本结构性存款产品到期日,由招商银行江北支行全额返还结构性存款本金及支付保底利率1.15%(年化)。
(2)本结构性存款产品收益兑付日,由招商银行江北支行根据预设条件支付结构性存款浮动收益。
(3)当发生政策风险或其他不可抗力因素时,收益保证条款不适用。
(4)浮动收益获得条件:如果存款存续期间内,伦敦金市下午定盘价在到期观察日未能突破波动区间【“期初价格-400美元”至“期初价格+400美元”(含边界)】,则本存款到期浮动利率2.7%(年化);如果存款存续期间内,伦敦金市下午定盘价在到期观察日突破波动区间【“期初价格-400美元”至“期初价格+400美元”(含边界)】,则本存款到期浮动利率为0。
(5)提前终止:本产品存续期内,公司与招商银行江北支行均无权提前终止本存款。
3、收益兑付
(1)本金及保底利息支付:结构性存款到期日,以转账方式将本金及保底利息转入公司原转存账户。
(2)收益支付:结构性存款收益兑付日,将浮动收益(如有)划入公司原转存帐户。
4、产品特点
该产品风险较小,适合对于利率、汇率、股票指数、商品价格等走势有一定见解和看法的投资人,并且为客户设置本金及保底利息保护,一定程度上降低了风险。
(三)敏感性分析
公司本次以自有资金3000万元购买的招商银行金华江北支行结构性存款CHZ00318号理财产品期限较短,不会对公司生产经营状况造成影响。在该投资期限内减少公司现金流净额3000万元,到期后预期为公司产生收益10.76万元。
(四)风险控制分析
本理财产品为保本收益型产品,银行确保公司本金安全,符合公司维护全体股东和公司利益的原则。公司始终将委托理财产品风险防控工作放在首位,严格按照内控制度有关规定,投资委托理财产品均为期限短、安全性高、流动性好的低风险银行理财产品。公司对购买的理财产品严格把关,谨慎决策。
