本公司董事长蒋晓萌先生兼任天士力集团董事局副主席，按照《上海证券交易所股票上市规则》有关规定，天士力集团为本公司关联法人，本次增资行为构成关联交易。蒋晓萌先生持有本公司股票20,000股，回避了对第九项议案《关于向天士力集团增资的关联交易议案》的表决。

2、律师鉴证结论意见：
