Progress Announcement on Tianjin Jianfeng Equity Transfer

2014 5 May 29 , the Company announced that Zhejiang Jianfeng Pharmaceutical, the controlling subsidiary of the Company, signed a Binding Framework Agreement (hereinafter referred to as "Framework Agreement") with SAS Company of France Diana Naturals. Jianfeng Pharmaceutical plans to sell its stake in Tianjin Jianfeng Natural Products Research and Development Co., Ltd. 54.5% at a price of yuan (RMB). The framework agreement will be valid until 2014 7 31 . For the above matters, please refer to the Announcement on the Sale of Equity in Subsidiaries and the Announcement on Resolutions of the 16th Session of the 8th Board of Directors issued by the Company on , , , , , .
After the signing of the framework agreement, the two parties have conducted many consultations and negotiations on the formal equity transfer agreement, but as of 2014 7 31 (the expiration date of the validity period of the framework agreement), due to the issuance and submission time of the bank guarantee, the guarantee amount and duration of the guarantee clauses such as environmental protection, etc, the parties failed to sign a formal equity transfer agreement or an extension agreement during the validity period of the framework agreement. According to the agreement of the framework agreement, the framework agreement of automatically terminates .
