Progress Announcement on Jianfeng Pharmaceutical's Acquisition of Naisikang's Equity

2014 7 29 , the company once announced that Zhejiang Jianfeng pharmaceutical co., ltd., the controlling subsidiary of the company, signed the "framework agreement on equity transfer of Zhejiang nesikang pharmaceutical co., ltd." (hereinafter referred to as the "framework agreement") with Creative Medicine and Xi' an zizhitong investment co., ltd, it is proposed to transfer its 70% and 25% stake in Zhejiang Niskang Pharmaceutical Co., Ltd. After the framework agreement was signed, according to the agreement, we hired audit, evaluation and other intermediary agencies with securities qualification to conduct a comprehensive audit, evaluation and due diligence on Zhejiang Nestkang Pharmaceutical Co., Ltd. , and conducted many consultations and negotiations with the equity transferor, however, due to the failure to solve the environmental protection problems of

Zhejiang Naisikang Pharmaceutical Co., Ltd., a consensus could not be reached.

In view of the fact that the exclusive period stipulated in the Framework Agreement has expired, after friendly negotiation, all parties jointly decided to terminate the equity transfer of Nessikang Company. On April 13, 2015, parties

signed the Memorandum on Termination of the Framework Agreement on Equity Transfer of Zhejiang Nessikang Pharmaceutical Co., Ltd. The main contents of the memorandum are as follows:

1. The parties agree to terminate the Framework Agreement on Equity Transfer of Zhejiang Nestkang Pharmaceutical Co., Ltd. signed on July 28, 2014.

2. Each party shall bear the expenses (audit and evaluation expenses) paid for the above-mentioned equity transfer, and shall not claim compensation or compensation from the other party.

3. Creative Medicine and Xi 'an Zizhitong Investment Co., Ltd. may seek a third party to contact, negotiate and negotiate the above-mentioned equity transfer of Zhejiang Naisikang Pharmaceutical Co., Ltd.
