一、 通过分配、转增股本方案的股东大会届次和时间
浙江尖峰集团股份有限公司 2013 年度利润分配预案经 2014 年 6 月 6 日召开的公司
2013 年度股东大会审议通过。股东大会决议公告刊登于 2014 年 6 月 7 日的 《中国证券 报》、《上海证券报》以及上海证券交易所网站(http://www.sse.com.cn)。
二、分配方案 (一)发放年度:2013 年度 (二)发放范围:
截止 2014 年 7 月 24 日下午在上海证券交易所收市后,在中国证券登记结算有限责 任公司上海分公司(以下简称:中登上海分公司)登记在册的本公司全体股东。
本次分配以 2013 年末股本 344,083,828 股为基数,向全体股东每 10 股派发现金红
利 1.8 元(含税),扣税后每 10 股派发现金红利 1.71 元。共计派发股利 61935089.04 元。 (三) 扣税说明 1、对于个人股东(包括证券投资基金)的现金红利,根据《关于实施上市公司股息
红利差别化个人所得税政策有关问题的通知》(财税〔2012〕85 号)有关规定,公司暂 按 5%的税率代扣个人所得税,扣税后实际每股派发现金红利 0.171 元。如股东的持股期 限在 1 个月以内(含 1 个月)的,其股息红利所得全额计入应纳税所得额,实际税率 20%;
持股期限在 1 个月以上至 1 年(含 1 年)的,实际税率 10%;持股期限超过 1 年的,实际 税率 5%。个人(包括证券投资基金)转让股票时,中登上海分公司根据其持股期限计算 实际应纳税额,超过已扣缴税款的部分,由证券公司等股份托管机构从个人资金账户中扣 收并划付中登上海分公司,中登上海分公司于次月 5 个工作日内划付公司,公司在收到税 款当月的法定申报期内向主管税务机关申报缴纳。
2、对于合格境外机构投资者(QFII)的现金红利,根据《关于中国居民企业向 QFII 支付股息、红利、利息代扣代缴企业所得税有关问题的通知》(国税函〔2009〕47 号)
(以下简称“《通知》”)相关规定,由公司按 10%的税率代扣代缴企业所得税,扣税后 实际每股派发现金红利 0.162 元。如相关股东认为其取得的股息收入需要享受任何税收协 定(安排)待遇的,股东可按照《通知》的规定在取得股息后自行向主管税务机关提出申 请。
3、对于属于《企业所得税法》项下居民企业含义的公司股东(含机构投资者),其所 得税自行缴纳,实际派发现金红利为每股人民币 0.18 元。
三、 分配方案实施日期
(一) 股权登记日 2014 年 7 月 24 日
(二)除权(除息)日 2014 年 7 月 25 日
(三)现金红利发放日 2014 年 7 月 25 日
四、分派对象
截止 2014 年 7 月 24 日(股权登记日)下午上海证券交易所收市后,在中国证券登 记结算有限责任公司上海分公司登记在册的本公司全体股东。
五、 分红、转增股本实施办法
(一)本公司股东金华市通济国有资产投资有限公司的现金红利由本公司直接发放。
(二)除金华市通济国有资产投资有限公司以外的本公司其他股东的现金红利,本 公司委托中登上海分公司通过其资金清算系统向股权登记日登记在册并在上海证券交易 所各会员办理了指定交易的股东派发。已办理全面指定交易的投资者可于红利发放日在其 指定的证券营业部领取现金红利,未办理指定交易的股东红利暂由中登上海分公司保管, 待办理指定交易后再进行派发。
