The voting procedure of the "Proposal on Foreign Investment of Subsidiaries" complies with relevant laws, regulations and the company's "Articles of Association", and the decision-making procedure is legal and effective. The transaction follows the principles of fairness, openness and impartiality, and the pricing is fair and reasonable, and there is no harm to the interests of the company and shareholders.
